1. Introduction and Acceptance

This Privacy Policy (the "Policy") describes the practices of Prosper Property Network and its owners, members, managers, employees, agents, successors and assigns (collectively, "Prosper Property Network," the "Company," "we," "us" or "our") with respect to the collection, use, processing, retention, disclosure and protection of Personal Information (as defined below) in connection with the website located at prosperpropertynetwork.com, any related pages, and any communications by telephone, text message, email or other means (collectively, the "Services"). By accessing or using the Services, or by otherwise providing Personal Information to the Company, you ("you," "your" or "User") acknowledge that you have read and understood this Policy. If you do not agree with this Policy, you should not use the Services or provide Personal Information to us.

For purposes of this Policy: (a) "Personal Information" means any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual or household; (b) "Property" means any real property, together with any improvements thereon, regarding which you communicate with the Company or regarding which the Company contacts you; (c) "Processing" means any operation performed on Personal Information, whether or not by automated means, including collection, recording, organization, storage, use, disclosure and deletion; and (d) "Service Providers" means third parties that process Personal Information on the Company's behalf and subject to its instructions.

We obtain Personal Information (a) directly from you, when you communicate with us by any means; (b) from publicly available government records; (c) from third-party data providers, list providers and real estate information services; (d) from referral sources, agents, partners and other persons who direct you to us; and (e) automatically, when you access the Services.

We process Personal Information for the following business and commercial purposes, as permitted by applicable law: (i) to respond to inquiries and communicate with you regarding the Property and your objectives; (ii) to evaluate, underwrite and value the Property, and to prepare, present and negotiate offers; (iii) to contact Property owners by telephone, text message, mail or email regarding the potential purchase, sale or other disposition of Property; (iv) to negotiate, document, perform and close any transaction into which you elect to enter; (v) to maintain business records, conduct quality assurance and train personnel; (vi) to detect, prevent and respond to fraud, security incidents and unlawful activity; and (vii) to comply with legal, regulatory and contractual obligations and to establish, exercise or defend legal claims.

6. Telephone and Text Message Communications

Where you provide a telephone number to the Company, you authorize the Company to contact you at that number regarding the Property and related matters by live call, voicemail and text message, subject to applicable law. Message frequency varies. Message and data rates may apply. You may opt out of text messages at any time by replying STOP, and may obtain assistance by replying HELP. You may request that we cease calling you at any time by so stating during any call or by contacting us as set forth in Section 16, whereupon your number will be placed on our internal do-not-call list. Consent to receive communications is not a condition of any purchase or transaction.

7. Call Recording and Monitoring

Telephone calls with the Company may be monitored and recorded for purposes of quality assurance, training, record-keeping, dispute resolution and compliance. By continuing a call with the Company, you acknowledge and, to the extent permitted by applicable law, consent to such monitoring and recording. If you do not consent, you should terminate the call and contact us by email instead.

8. Disclosure of Personal Information

The Company does not sell Personal Information and does not share Personal Information for cross-context behavioral advertising. We may disclose Personal Information: (a) to title companies, escrow agents, closing attorneys, lenders, buyers, assignees, investors and other parties to the extent reasonably necessary to evaluate or complete a transaction in which you elect to participate; (b) to Service Providers, including telephony, messaging, email, data storage and hosting providers, which are contractually restricted from using Personal Information for any purpose other than providing services to the Company; (c) in connection with any merger, acquisition, financing, reorganization or sale of all or a portion of the Company's business or assets; and (d) where required or permitted by law, including in response to subpoenas, court orders or lawful requests of public authorities, or to protect the rights, property or safety of the Company or others.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, excluding Service Providers that support the delivery of messages.

9. Cookies and Similar Technologies

The website does not employ advertising, analytics or cross-site tracking cookies. The website may store limited information in your browser that is strictly necessary for its operation, including a record of your cookie preference. You may review or change your preference at any time through cookie settings, and may block or delete cookies through your browser settings. Because no tracking technologies are used, the website does not respond differently to "Do Not Track" browser signals.

10. Data Retention

We retain Personal Information for so long as reasonably necessary to fulfill the purposes described in this Policy, including for the duration of any business relationship and for such additional period as is required or permitted by applicable law, regulation, statute of limitations or legitimate business need, after which it will be deleted, destroyed or de-identified in accordance with our practices.

We maintain commercially reasonable administrative, technical and physical safeguards designed to protect Personal Information against unauthorized access, use, alteration, disclosure and destruction. Notwithstanding the foregoing, no method of transmission over the Internet or method of electronic storage is completely secure, and the Company cannot and does not guarantee absolute security.

12. Your Rights and Choices

Subject to applicable law, including the Texas Data Privacy and Security Act and other state privacy laws to the extent applicable, you may have the right to: (a) confirm whether we process your Personal Information and access such information; (b) request correction of inaccurate Personal Information; (c) request deletion of Personal Information, subject to exceptions permitted by law; (d) obtain a copy of your Personal Information in a portable format; and (e) opt out of the sale of Personal Information, targeted advertising and profiling (which, as stated above, the Company does not engage in). To exercise any such right, contact us as set forth in Section 16. We may need to verify your identity before responding. If we decline to take action on your request, you may appeal our decision by contacting us with the subject line "Privacy Appeal." We will not discriminate against you for exercising any of your rights.

13. Children's Privacy

The Services are not directed to individuals under eighteen (18) years of age, and the Company does not knowingly collect Personal Information from such individuals. If we become aware that we have collected such information, we will take reasonable steps to delete it.

14. Third-Party Websites and Services

The Services may contain links to, or reference, websites and services operated by third parties. The Company is not responsible for the privacy practices of such third parties, and your use of their websites and services is governed by their respective policies.

15. Governing Law; Changes to This Policy

This Policy shall be governed by and construed in accordance with the laws of the State of Texas and applicable federal law, without regard to conflict-of-law principles. The Company reserves the right to amend this Policy at any time. Any amendment shall be effective upon posting of the revised Policy with an updated "Last Updated" date. Your continued use of the Services following such posting constitutes your acknowledgment of the revised Policy.
